Wholesale Policy
1. Introduction
Herbs for Africa (herbsforafrica.com) offers a wholesale programme for businesses purchasing our natural herbal products in bulk. This Wholesale Policy applies to all wholesale customers. By applying for a wholesale account or placing a wholesale order, you agree to these terms.
2. Wholesale Discounts
Discount Structure: Wholesale discounts are determined according to order volume, customer history, merit, and the ongoing relationship between Herbs for Africa and the wholesale customer. Discounts may differ between customers and remain subject to our approval.
Wholesale pricing and individually negotiated terms are confidential and may not be disclosed to third parties.
Retail Promotions: Retail discounts, promotions, coupons, or website specials do not apply to wholesale orders unless expressly stated. Wholesale customers will be notified separately of applicable wholesale promotions.
3. Branding, Labelling and White Labelling
Herbs for Africa Branded Products
Wholesale customers may not remove, cover, alter, replace, or add information to labels on products supplied under the Herbs for Africa brand without our prior written permission.
Wholesale customers must represent the Herbs for Africa brand accurately and may use only approved logos, product information, images, fonts, colour codes, and marketing materials supplied by us. These materials may not be altered without written approval.
White-Label Products
Herbs for Africa may, at its discretion, supply selected products under a wholesale customer’s own brand. White-labelling is a separate service and is not automatically included with a wholesale account, wholesale discount, or product purchase.
Every white-label arrangement must be discussed, approved, and quoted before label design or production begins.
Charges may include:
* Initial label setup and design;
* The complexity of the required design;
* The number of products or individual labels to be designed;
* Revisions or changes requested by the customer;
* Printing, ink, materials, and other label-production costs; and
* Additional setup, administrative, or production requirements.
These costs will be quoted according to the specific project and may be charged separately or incorporated into the customer’s agreed price structure.
Design and production will begin only after the customer has accepted the quotation and complied with any applicable payment requirements.
The customer must approve all label artwork, wording, branding, product names, and other supplied information before printing. Herbs for Africa is not responsible for errors that the customer approved or for costs arising from changes requested after approval.
White-label customers may not describe themselves as Herbs for Africa, use our branding, or imply that they are an authorised representative, branch, partner, or agent of Herbs for Africa unless expressly authorised in writing.
Marketing Materials
Standard Herbs for Africa marketing materials may be made available to wholesale customers at our discretion. We are not obligated to create customised or additional marketing materials. Any requested custom work will be quoted separately.
4. Marketing and Sales
Independent Marketing: Wholesale and white-label customers are responsible for their own marketing, advertising, and sales activities. Herbs for Africa does not provide marketing services unless agreed separately in writing.
Joint Marketing Campaigns: We may enter into joint marketing arrangements with selected wholesale customers. Each arrangement will be negotiated separately.
Suggested Retail Price: Wholesale customers reselling Herbs for Africa branded products are encouraged to use our suggested retail price to support consistent market positioning. White-label customers are responsible for setting their own retail prices unless otherwise agreed.
5. Ordering and Payment
**Online Orders:** Standard wholesale orders must be placed through our website unless another ordering process has been approved by Herbs for Africa.
White-label orders may require a separate quotation, approval, invoice, minimum quantity, or ordering process.
**Payment:** Full payment is required before an order is processed unless different terms have been agreed in writing. We do not offer instalment payments, credit terms, or consignment stock unless expressly agreed.
Additional charges resulting from customer-requested changes, additional label versions, reprints, or increased production costs must be paid before production or dispatch.
6. Shipping, Risk and Insurance
Wholesale customers are responsible for shipping costs.
Available shipping options will be provided when an order is placed. Courier insurance is limited to the amount and conditions offered by the relevant courier.
For orders exceeding the courier’s insurance coverage, customers should arrange suitable additional insurance or their own insured collection. Herbs for Africa is not responsible for loss or damage beyond the liability accepted by the courier, subject to applicable law.
7. Compliance and Legal Requirements
Wholesale and white-label customers are responsible for ensuring that their marketing, resale, distribution, and use of products comply with all laws and regulations applicable in the territories where they operate.
White-label customers are responsible for ensuring that their business details, trademarks, label wording, claims, instructions, warnings, and other customer-supplied information are lawful and accurate.
Herbs for Africa may refuse any wording, claim, design, or branding that we believe is misleading, unlawful, inappropriate, or potentially harmful.
Failure to comply with this policy may result in an order being refused, suspended, or cancelled, or the wholesale account being terminated.
8. Cancellation and Changes to White-Label Work
Design, setup, printing, ink, and other production expenses already incurred are non-refundable if a customer cancels a white-label project after work has begun.
Changes requested after artwork approval may require a new quotation and may delay production. The customer is responsible for reprinting and production costs resulting from changes made after approval.
Unless otherwise agreed in writing, quoted prices and production timeframes apply only to the specific quantities, designs, and requirements stated in the quotation.
9. Termination
Herbs for Africa may suspend or terminate a wholesale or white-label arrangement if a customer:
* Misrepresents Herbs for Africa or its products;
* Misuses our branding or marketing materials;
* Alters Herbs for Africa branded products without permission;
* Fails to pay amounts due;
* Breaches this policy or an agreed quotation; or
* Acts in a manner that may harm our business, products, or reputation.
We reserve the right to terminate a wholesale relationship where reasonably necessary, subject to existing paid orders and applicable law.
